1. Acceptance of Terms
By accessing busacta.com or engaging BusAcTa Advisors ("BusAcTa," "we," "us") for any service, you ("you" or "Client") agree to be bound by these Terms of Service together with any signed engagement letter or statement of work. If you do not agree, do not use the site or our services.
2. Description of Services
BusAcTa provides offshore back-office support to U.S. CPA firms, EAs, and accounting practices, including bookkeeping, accounting, tax preparation, audit support, payroll processing, sales-tax compliance, virtual CFO, business formation, and administrative virtual-assistant services. Specific scope, deliverables, software, deadlines, and fees are documented in each engagement letter.
BusAcTa acts as a service provider to your firm. We do not provide tax, audit, or legal opinions directly to your end-clients; all final review, sign-off, and client communication remain with your licensed firm.
3. Client Responsibilities
You agree to:
- Provide complete, accurate, and timely source documents and access credentials
- Maintain valid licenses for any third-party software within which we work
- Designate a primary point of contact for each engagement
- Conduct your firm's required final review and sign-off on every deliverable
- Comply with all applicable laws and professional standards
4. Fees & Payment
Fees are set in the engagement letter. Most engagements are billed monthly, with month-to-month flexibility unless otherwise agreed. Invoices are due within 15 days of issue. Past-due balances may result in suspension of services after 30 days' notice.
5. Confidentiality & NDA
Every BusAcTa team member signs a binding NDA before accessing any Client data. We treat all Client and end-client information as strictly confidential and will not disclose it except as required to perform the engagement or by law. A separate mutual NDA is available on request.
6. Data Security
We maintain SOC 2-aligned controls including encryption, MFA, role-based access, hardened devices, no local data storage, and full audit logs. Detailed practices are described on our Data Security page and are incorporated into these Terms by reference.
7. Intellectual Property
Deliverables prepared specifically for your firm under an engagement become your property upon payment. BusAcTa retains ownership of its proprietary methodologies, templates, checklists, training materials, software, and the BusAcTa brand. Nothing in these Terms transfers ownership of our pre-existing IP.
8. Warranties & Disclaimers
We warrant that services will be performed in a professional manner consistent with industry standards. Except as expressly stated, services and the website are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, BusAcTa's total aggregate liability arising out of any engagement shall not exceed the fees paid by Client to BusAcTa in the three (3) months preceding the event giving rise to the claim. BusAcTa shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits.
10. Indemnification
Each party agrees to indemnify the other against third-party claims arising from its own negligence, willful misconduct, or breach of these Terms, subject to the limitation of liability above.
11. Term & Termination
Either party may terminate any month-to-month engagement with 30 days' written notice. Upon termination, all in-progress work is delivered, outstanding fees are due, and your data is purged from our systems within 30 days unless retention is required by law.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Disputes shall be resolved through binding arbitration in New York, NY, except that either party may seek injunctive relief in court for IP or confidentiality claims.
13. Changes to Terms
We may update these Terms periodically. Material changes will be posted with a new "Last updated" date and, where required, communicated to active clients. Continued use after changes take effect constitutes acceptance.
